Terms of Use

Introduction

These Terms of Use (“Terms”) are a legal agreement between you (“Customer,” “you”) and Goodsize Inc. (“Goodsize,” “we,” “our,” or “us”), the owner and operator of Yolk (the “Service”).

By accessing or using Yolk, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

1. About Yolk

Yolk automates sales coaching with AI. The Service analyzes recorded calls, identifies skill gaps, and delivers personalized roleplays and feedback to help sales teams improve performance.

Yolk may also provide a browser extension that connects to calendar and meeting/call environments to help Users prepare for upcoming prospect meetings and receive real-time coaching recommendations during calls.

Yolk is a product of Goodsize Inc., incorporated in the State of Delaware, USA.

2. Eligibility and Accounts

• You must be at least 16 years old and, if acting on behalf of a company, authorized to bind that company to these Terms.
• You are responsible for keeping your login credentials secure.
• You must promptly notify us of any unauthorized access or use of your account.
• You may not share login credentials outside your organization.

3. Description of the Service

Yolk connects to your call-recording or transcription platforms (e.g., Gong, Fireflies) to analyze conversations and provide coaching feedback. Yolk may connect to calendar services, including Google Calendar, to access read-only meeting information such as meeting time, title, attendee names, attendee email addresses, and meeting links, for the purpose of identifying upcoming prospect meetings and preparing personalized roleplays and coaching.

Where enabled, the Yolk browser extension may process live call audio, transcription, and meeting context to provide real-time sales coaching recommendations during a call.

We may use third-party AI providers, including but not limited to OpenAI and Anthropic, to process data and generate responses.

Yolk provides coaching insights and analytics only — it does not make hiring, promotion, compensation, or other employment decisions.

4. Acceptable Use and Restrictions

You agree not to:

1. Use the Service for unlawful purposes or in violation of any applicable laws, including call-recording and privacy laws.
2. Attempt to gain unauthorized access to the Service or its systems.
3. Reverse engineer, decompile, or disassemble any part of Yolk.
4. Use Yolk or its outputs to create, train, or improve any competing software or service in the fields of AI training, sales coaching, dialogue simulation, or performance analytics.
5. Circumvent or attempt to bypass usage limits or account restrictions.
6. Upload malicious code, interfere with the Service, or use it to harass or harm others.
7. Use the Service to listen to, transcribe, record, or analyze calls unless all required notices have been provided and all required consents have been obtained from call participants.

Violations may result in immediate suspension or termination of your account.

5. Free Plan and Fair Use

Yolk offers a Free Plan intended for limited evaluation and small-team use.

You may not create multiple accounts or otherwise circumvent usage limits.

Goodsize Inc. reserves the right to suspend or terminate Free Plan accounts at any time for suspected abuse or to protect system integrity.

6. Team and Enterprise Plans

Yolk offers both Team and Enterprise subscriptions.

Goodsize Inc. may, at its discretion, reclassify customers or require an Enterprise agreement if their usage, company size, or data volume materially exceeds the intended scope of the Team Plan.

7. Subscriptions, Billing, and Refunds

• Paid plans renew automatically at the end of each billing period (monthly or annually) unless cancelled.
• You may cancel your subscription at any time through your account settings; cancellation prevents future charges but does not retroactively refund past payments.
• Refunds: Customers on annual plans may request a full refund within 30 days of purchase. Monthly subscriptions are non-refundable.
• Pricing and features are shown on https://yolk.coach/pricing and may change with notice.

Taxes, duties, and payment-processor fees are your responsibility where applicable.

8. Customer Data and Privacy

Your use of Yolk is governed by our Privacy Policy.

By using the Service, you grant Goodsize Inc. and its contractors a limited, worldwide, royalty-free license to process, store, and analyze your data solely to:

• provide and improve the Service;
• generate aggregated or anonymized analytics;
• and train internal algorithms as described in the Privacy Policy.

Notwithstanding the above, information received from Google APIs, including Google Calendar data, will be used only to provide or improve user-facing Yolk features and will not be sold, used for advertising, or used to train or improve generalized AI or machine learning models.

You retain ownership of your call recordings, transcripts, and training data.

9. Intellectual Property

All intellectual-property rights in Yolk, its software, interface, algorithms, and content (except your uploaded data) belong to Goodsize Inc. or its licensors.

You are granted a non-exclusive, non-transferable, revocable license to access and use Yolk in accordance with these Terms.

No other rights or licenses are granted by implication or otherwise.

10. Service Availability and Changes

We aim to keep Yolk available at all times but do not guarantee uninterrupted or error-free operation.

Goodsize Inc. may modify, suspend, or discontinue features or access for maintenance, upgrades, or security reasons.

We will make reasonable efforts to notify users of major changes that materially affect their use.

11. Third-Party Services

Yolk integrates with third-party platforms (e.g., Gong, Fireflies).

Your use of such platforms is governed by their respective terms and privacy policies.

Goodsize Inc. is not responsible for data handling or service quality of those providers.

Yolk may integrate with Google Calendar and other Google API services. Your use of those services is also governed by Google's applicable terms, policies, and permissions flows.

12. Call Recording Responsibility

By connecting a call-recording, transcription, meeting, calendar, or browser-extension feature to Yolk, you confirm that all participants in any recorded, transcribed, monitored, or analyzed calls have been informed of and consented to such recording, transcription, monitoring, and analysis as required by your policies and applicable law, including all-party-consent jurisdictions.

13. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

To the fullest extent permitted by law, Goodsize Inc. disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service or outputs will be accurate, reliable, uninterrupted, or error-free.

14. Limitation of Liability

To the maximum extent permitted by law:

• Goodsize Inc. shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including lost profits or data.
• Our total cumulative liability for all claims arising out of or related to the Service shall not exceed the total amount paid by you to Goodsize Inc. during the 12 months preceding the claim.

Some jurisdictions do not allow certain limitations, so portions of this clause may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless Goodsize Inc., its affiliates, officers, employees, and contractors from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of:

(a) your misuse of the Service;
(b) violation of these Terms; or
(c) unlawful recording, transcription, monitoring, live analysis, or data-sharing practices by you or your organization, including failure to obtain required consents from prospects or call participants.

16. Termination

You may stop using Yolk at any time.

Goodsize Inc. may suspend or terminate your account if you violate these Terms, misuse the Service, or cause risk or harm to others.

Upon termination, your access ends immediately; we may delete or anonymize your data according to our Privacy Policy.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.

Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules.

Arbitration will take place in Delaware, USA, in English.

Either party may bring an individual claim in small-claims court instead of arbitration.

Class actions and class-wide arbitration are not permitted.

18. Changes to These Terms

We may update these Terms from time to time.

When we do, we'll update the “Last updated” date above and, if changes are material, provide notice through the Service or by email.

Continued use of Yolk after updates constitutes acceptance of the revised Terms.

19. General Provisions

• These Terms constitute the entire agreement between you and Goodsize Inc. regarding Yolk.
• If any provision is found unenforceable, the remaining terms remain in effect.
• You may not assign or transfer these Terms without our written consent; Goodsize Inc. may assign them as part of a merger or acquisition.
• No waiver of any right is effective unless in writing and signed by both parties.
